The United States side
of your cases.

Argentine public accountant and IRS-registered tax preparer, Florida notary public with remote online notarization and apostille. I review the US side of the case, handle it when needed, and hand the analysis back to you.

What I handle

The part of the case that sits on the US side.

Tax: the LLC that shows up in the case

Form 5472 + pro forma 1120. Every US LLC with a foreign owner must file them with the IRS every year, even with zero revenue. The penalty for not filing starts at USD 25,000 per form per year, and it is filed on paper or by fax, not online.

Unfiled years. If the LLC was formed three or five years ago and nothing was ever filed, the path is filing every year with a reasonable-cause statement. Leaving it alone for fear of "waking up" the IRS is the worst option: the penalty accrues anyway.

When the LLC turns up in a divorce, an estate or a dissolution. The first thing to establish is whether it has been filed: it changes the value of what is being divided and who carries the penalty.

Estates with assets in the United States

Frozen accounts, an LLC or real property of the decedent. I review what the bank, the state and the IRS require — transfer certificate, Form 706-NA, non-resident estate tax with a USD 60,000 exemption — to release the assets to the heirs.

Notarial work

Remote online notarization (RON). Your client signs before me over video from their own country, with passport-based identity verification. The notarial act is issued under US form and is valid before US banks, courts and registries (Florida, FS 117.265): powers of attorney, affidavits, real-estate closings, corporate documents.

Apostille of US documents. I obtain the apostille from the Florida Secretary of State and ship the original by tracked courier. The apostilled scan reaches you first, by email.

Turnaround. Signing session within 48 business hours · Florida apostille in 2 to 3 business days · international courier 3 to 7 business days.

What gets reviewed before choosing a structure.

It does not come down to the entity, but to three things, in this order: the client's tax residency — an LLC does not change where they are taxed — the source of the income — it decides whether there is US-connected income and which forms are triggered — and the location of the assets — real property drags FIRPTA along on sale.

How we work together

Two arrangements, both in writing.

Referral

You bring me the case and I invoice the client directly.

You receive 20% of the fee.

Resale

You hire me and invoice your own client at your own price.

Professional-courtesy pricing, in writing, so you can set your margin.

The first review of a case for a colleague is free. Send me the case in two lines, or just the LLC name and state, and I will tell you whether it is workable, what is missing and the fixed cost. If nothing is needed, I say so and that is the end of it.

The full fee schedule — IRS, entities, notarial and apostille, at professional-courtesy pricing — goes to you by email as soon as you identify yourself, below or at onell@emprendenus.com.

The limits

Stated by me before you have to ask.

Rather talk it through first? Let's book 15 minutes.

Tell me the case

Two lines on what your client needs on the US side. Or just send the LLC name and state and I will check the registry. I answer personally, with the diagnosis and the fixed cost — and I attach the professional-courtesy fee schedule.
